  • Legislative Decree 231/01 introduces and regulates corporate liability within the Italian legal system, arising from the commission of crimes as outlined in the Decree itself. Companies may be held liable for the commission or attempted commission, in Italy or abroad, of crimes committed by individuals working for or with the company, in its interest or to its benefit. The Decree provides for monetary and/or restrictive sanctions, which may significantly limit the company’s ability to operate.

    In compliance with the provisions of the law, Venture Ship Management Europe Srl has adopted an organizational system for managing and controlling its processes, suitable for preventing the commission of crimes covered by the Decree.

    This system consists of a set of rules, processes, and procedures, which are based on the Organization, Management, and Control Model (Model 231).

    Model 231 is adopted and implemented by the Board of Directors, which also appoints the Supervisory Body — an independent entity with autonomous powers of initiative and control — responsible for monitoring the functioning and compliance with Model 231, as well as ensuring its continuous update. The Model is regularly updated in line with legal and organizational changes.

    The adoption of the Model promotes rigor, transparency, and a sense of responsibility in both internal and external relations, while offering shareholders the best guarantees of efficient and correct management through the implementation of procedures aimed at managing potential risk situations.

    Model 231 is intended to be a practical reference tool for people working for and with Venture Ship Management Europe Srl, allowing them to assess appropriate behavior in compliance with the law and the values on which the company is founded, and to follow specific protocols for managing activities at risk of committing the offenses outlined in Decree 231/01.

    The Supervisory Body consists of an external member who meets the necessary requirements of integrity, professionalism, autonomy, and independence, and performs its assigned duties while ensuring the necessary continuity of action.

  • The Code of Ethics defines the principles that characterize our identity and serves as a guide for all those to whom it is addressed, outlining behavioral rules whose observance is essential to ensure the reliability and strengthening of our reputation.

  • Venture Ship Management Europe Srl’s whistleblowing system allows the reporting — including anonymously — of risks and violations that could harm the company and its stakeholders.

    Through the Whistleblowing Platform, anyone can submit detailed reports with full anonymity, regarding:

    • Unlawful or suspicious behavior

    • Irregularities in corporate activities

    • Acts or facts that may constitute a violation of internal or external regulations governing the company’s activities, the principles and behavioral rules outlined in the Code of Ethics, and the provisions of Model 231

    • Workplace harassment

    The Supervisory Body (ODV) of Venture Ship Management Europe Srl handles the reports, protecting both the whistleblower and the person being reported.
